## The skim

- Anthropic filed its public S-1 with the SEC on Monday and plans to list its Class A shares on the Nasdaq under the ticker "ANT." It hasn't set a share count or price range yet.
- The seven co-founders will hold a special share carrying 50.1% of the vote, and a trust will elect most of the board. Anthropic says the structure "has no direct public company precedent."
- The filing shows how much the company has committed to compute: about $417 billion in new obligations signed this year, plus an estimated $125 billion to $150 billion more for capacity arriving between 2028 and 2031.

## What Anthropic filed

The Claude maker [announced](https://www.anthropic.com/news/s1-sec?ref=skimwire.com) the filing Monday. The headline numbers match what [the Wall Street Journal reported from a draft last week](https://www.skimwire.com/anthropic-draft-s1-ipo-revenue/): revenue of $16.3 billion for the first half of 2026, up from $1.2 billion a year earlier, and an $80.7 billion net loss. About $72.4 billion of that loss is a noncash charge from revaluing convertible notes and similar instruments as the company's valuation climbed. The operating loss was $693 million, down from $2.1 billion. The filing still warns that Anthropic "may not achieve or sustain profitability."

What's new is everything around those numbers. Goldman Sachs and Morgan Stanley lead a list of 22 underwriters. As of Sept. 30, Anthropic counted more than 11,900 customers paying at least $100,000 a year, up from more than 950 a year earlier, plus more than 1,900 above $1 million and about 250 above $10 million. No single customer made up more than 10% of revenue in the first nine months, but the top five made up about 25%. Anthropic also says Claude wrote more than 90% of contributions to its own codebase in September.

## Who controls it

Public buyers will get Class A shares with one vote each, but they won't run the company. A single Class F share held by a "Founder LLC" made up of Dario Amodei, Daniela Amodei and the five other co-founders will carry 50.1% of the total vote. Anthropic's Long-Term Benefit Trust will hold Class T stock that lets it elect a majority of the board. Employees get a separate Class E stock with only limited voting rights. Anthropic says the setup protects its public-benefit mission, and warns it could make directors harder to replace.

## The compute bill

Since the start of 2026, Anthropic has signed new and expanded compute and data center deals with about $417 billion in future minimum payments. That includes up to $120.5 billion with SpaceX's AI unit for Nvidia-powered capacity, about $3.1 billion a month once it's fully delivered, which Anthropic expects in December. Another deal commits at least $44.9 billion to Microsoft through May 2033\. The risk factors also flag the government's "Supply-Chain Risk" designation from February, which the company says could cause "material revenue losses."

## Why it matters

This is the first full look at a frontier AI lab's books, and the trade-off is plain: very fast growth, huge spending promises and little shareholder control. It comes the same day [Meta announced up to $95 billion in stock sales](https://www.skimwire.com/meta-95-billion-stock-offering-ai-spending/) and a day after [Musk warned that debt markets are closing](https://www.skimwire.com/spacex-40-billion-gpu-debt-musk-neoclouds/) to AI-only data center companies. Both point the same way: the AI buildout increasingly depends on public markets to pay for it.

Next, Anthropic has to set a price range and start marketing the shares. The Information reports that the roadshow starts in about two weeks and that the IPO is expected the week of Nov. 16.
